Auzin Medical Family Feud Deepens as Bid to Remove Director Fails

Auzin Medical said a proposal by shareholders Cui Han (Helen Han Cui) and Hu Gang (Eric Gang Hu) to remove Huang Wanlan from the board was rejected at an extraordinary general meeting on July 20, according to Jiemian News. Cui and Hu are married, and Huang is Cui’s mother, underscoring a governance dispute that intensified after the death of Auzin Medical co-controller Cui Fuzhai. The company did not answer a Jiemian News phone call on July 21.

Before Cui Fuzhai’s death, he, Hu and Huang were the company’s joint de facto controllers. After inheritance arrangements were completed, Huang’s direct stake rose to 5.53%, Cui Han gained a 1.84% stake and became one of the de facto controllers, while Hu’s holding was unchanged. Huang also serves as executive partner of Beijing Galaxy Jiu Tian Information Consulting Center (Limited Partnership), giving her an indirect 5.66% stake. Cui and Hu together hold 8.76%, leaving them short of the votes needed to remove Huang.

Cui and Hu had publicly solicited voting rights before the meeting, citing disagreements over management, finance, overseas investment, fixed-asset spending and internal controls. The company has also been under pressure from China’s bone implant volume-based procurement, which triggered its first post-listing loss in 2024. Revenue fell 9.03% to 206 million yuan in 2024, while net profit attributable to shareholders dropped to a loss of 12.66 million yuan from 54.23 million yuan a year earlier. In 2025, revenue rose 8.59% to 224 million yuan and net profit attributable to shareholders recovered to 13.84 million yuan, but recurring net profit remained a loss of 958,600 yuan.
