According to official sources, Rio Platforms has announced a settlement agreement with Bitfarm, according to which:
(I) Andrés Finkielsztain will resign from the company's board of directors;
(Ii) Amy Freedman has been appointed to the Board of Directors, the Governance and Nominating Committee, and the Board's Compensation Committee, and will be appointed to the Board's "Special Committee" of Independent Directors currently or as may be constituted from time to time, provided that she is independent within the mandate of the "Special Committee";
(Iii) Riot has withdrawn its request to hold a special meeting of the company's shareholders.
Before and after the signing of the agreement, Riot beneficially owned 90,110,912 ordinary shares of Bitfarms, representing approximately 19.9% of the issued and outstanding ordinary shares (based on information provided by the company).
