Cloudx 1 announced that Foxconn Far East, an existing 6.61% shareholder in the group and part of Taiwan's Hon Hai, will buy shares from current holders FSK and FDG Fund at NT$0.6374 a share, with the deals covering 23.68% and 10.17% of their holdings, respectively, according to Ming Pao.
The transaction involves 239 million shares in total and a consideration of more than NT$152 million. The offer price is a 55.46% premium to Cloudx 1's closing price last Friday and a 51.76% premium to today's closing price. After the acquisitions, Foxconn Far East's stake will rise to 40.46%, above the 30% mandatory takeover threshold, prompting it to make a full offer for Cloudx 1 at the same price.
