The Smarter Web Company said it repaid Smarter convertible notes held by entities related to TOBAM Group about two weeks early. According to Foresight News, the repayment totaled about $11.69 million and was funded by the sale of 177.8909127 bitcoin at an average price of $65,762, with those bitcoins fully allocated from subscription proceeds.
The original agreement required at least 98% of the funds to be invested in bitcoin, but the company invested 100%, so it was required to fully repay the purchased bitcoin. After the repayment, the potential issuance of 7.718551 million ordinary shares tied to the notes was eliminated, and the related potential shares and disposed bitcoin were removed from the company’s fully diluted bitcoin treasury analysis. Following the sale, the company held 2,700 bitcoin.
