eBay shareholders voted down a governance proposal that would have lowered the threshold to call a special shareholder meeting to 10% from 20%, limiting options for GameStop CEO Ryan Cohen, who holds nearly 9% of eBay. According to BeInCrypto, preliminary results showed about 210 million shares against Proposal 4 and roughly 157 million in favor, after eBay’s board urged a “no” vote.
GameStop proposed acquiring eBay at $125 per share earlier this year, a 46% premium to eBay’s unaffected Feb. 4, 2026 close, valuing eBay at about $56 billion; eBay rejected the offer. Attention has turned to a possible hostile tender offer.
