Uniswap Foundation plans to adopt Wyoming's DUNA legal framework

The Uniswap Foundation is proposing to create a new legal entity called "DUNI" for its governing organization under the Wyoming "Decentralized Non-Registered Non-Profit Association (DUNA) " framework to preserve the existing governance structure and meet compliance, tax and contract signing needs. The plan is to allocate $16.50 million worth of UNI to the entity to settle historical taxes and penalties expected to be less than $10 million, and to establish a legal defense budget. The foundation's general counsel said the move would lay the foundation for future enabling agreement fees, which will transfer part of the LP processing fee to the DAO's treasury. Under this framework, fee revenue cannot be directly distributed to UNI holders and will not change Uniswap's decentralized governance model.
