Securities Exchange Commission (SEC) Commissioner Hester Peirce said that certain token issuers need to come and talk to the SEC. Peirce stressed that tokenized securities are still securities and that market participants must consider and comply with existing securities regulations.
She mentioned that tokens that do not provide legal and beneficial ownership of the underlying securities to their holders could be a "security-based swap" product that retail investors cannot trade off-exchange. Peirce said the SEC is ready to work with market participants to develop appropriate exemptions and modernized rules.
