Trump's son-backed American Bitcoin files Form S-4 with SEC to amend registration statement to advance listing process

Gryphon Digital Mining, a bitcoin mining company backed by Trump's son and listed on Nasdaq, announced that it has filed an amended Form S-4 registration statement with the Securities Exchange Commission (SEC) in connection with its previously announced share-swap merger transaction, containing a preliminary engagement letter and prospectus related to the proposed transaction, with the aim of advancing the listing of American Bitcoin.
American Bitcoin has previously reached a definitive merger agreement with Gryphon, which will acquire American Bitcoin in a share-for-share merger. After the transaction is completed, the merged company will operate under the American Bitcoin brand. It is expected to be listed on NASDAQ under the ticker symbol "ABTC" after being approved by the US SEC. The transaction is expected to close in the third quarter of 2025.
