证监会：控股股东、实控人在破发破净、分红不达标等情形下不得通过集中竞价或者大宗交易减持

4月12日讯，证监会就《上市公司股东减持股份管理办法（征求意见稿）》公开征求意见。其中提出，严格规范大股东减持。增加大股东通过大宗交易减持前的预披露义务，要求大股东的一致行动人以及合计持股5%以上的一致行动人遵守大股东的义务，明确控股股东、实际控制人在破发破净、分红不达标等情形下不得通过集中竞价或者大宗交易减持。
